These Terms of Service (“Terms”) govern your use of the Bawte brand dashboard at dashboard.bawte.com and related APIs and services (the “Services”), operated by Bawte, Inc. (“Bawte,” “we,” “us,” or “our”).
By accessing or using our Services, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree to these Terms, do not use our Services.
1. Eligibility and Accounts
You must be authorized to act on behalf of a legally registered business or organization. By creating a brand account, you represent and warrant that you have the authority to bind your organization to these Terms.
Each brand account requires:
- A valid business email address
- A password (securely hashed; we never store plaintext)
- Your brand name
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@bawte.com if you suspect unauthorized access.
2. Team Management
You may invite team members to access your brand account. When managing your team:
- Owners have full access, including the ability to manage team members and account settings
- Admins can manage products, view customers, and access analytics
- Members have read-only access to registrations and customer data
You are responsible for the actions of all team members on your account. You must remove team members who should no longer have access promptly.
3. Products and QR Codes
You may create products on the Bawte platform and generate QR codes for your physical products. By creating products, you represent that:
- You are the manufacturer or authorized distributor of the products listed
- All product information (name, description, images, warranty terms) is accurate and not misleading
- Product images and descriptions do not infringe any third-party intellectual property rights
- Warranty terms you configure accurately reflect the warranty you offer to consumers
QR codes generated by Bawte are for use on your physical products only. You may not use Bawte QR codes for products manufactured by other companies.
4. Consumer Registrations and Data
When consumers register your products through Bawte, you receive access to their registration data as described in our Privacy Policy. You agree to:
- Use consumer data only for product support, warranty administration, and the specific incentives offered through our platform
- Comply with all applicable privacy and data protection laws
- Not sell, rent, or share consumer data obtained through Bawte with third parties except as necessary for warranty fulfillment
- Honor warranty commitments displayed to consumers at the time of registration
- Respond to consumer support requests in a timely manner if you provide support contact information through our platform
Bawte may enrich consumer profiles with publicly available information using third-party services. You acknowledge that enrichment data is provided “as is” and may not be fully accurate.
5. Incentives You Offer
If you configure incentives (warranty extensions, coupons, discounts, cashback, gifts) for consumers who register your products, you are solely responsible for:
- Fulfilling all incentives as described to consumers
- Bearing all costs associated with incentive fulfillment (product costs, shipping, etc.)
- Setting accurate terms and conditions for each incentive
- Ensuring incentives comply with applicable laws and regulations
Bawte facilitates the delivery of incentives through the platform but does not guarantee consumer redemption or bear any cost of fulfillment.
6. API and Integrations
We provide a REST API for programmatic access to your brand data. When using the API:
- API keys are confidential and must be stored securely (never in client-side code or public repositories)
- You are responsible for all API activity performed with your keys
- API access is subject to rate limits; excessive requests may be throttled or blocked
- We may modify, deprecate, or discontinue API endpoints with reasonable notice
- You must not use the API to scrape, harvest, or collect data from other brands' accounts
7. Webhooks
You may configure webhooks to receive real-time notifications when consumers register your products. By using webhooks:
- You are responsible for maintaining a secure, accessible endpoint
- You must process webhook payloads containing consumer data in compliance with applicable privacy laws
- Failed webhook deliveries will be retried according to our delivery policy
- We are not liable for data loss resulting from your endpoint being unavailable
8. Brand Content and Assets
You may upload brand assets (logo, product images, descriptions) to the platform. By uploading content, you represent that:
- You own or have the right to use all uploaded content
- Your content does not violate any law or third-party rights
- You grant Bawte a non-exclusive, worldwide license to display your brand assets within the Services and the consumer application for the purpose of providing the Services
You retain all ownership rights to your brand content.
9. Acceptable Use
You agree not to:
- Provide false or misleading brand, product, or warranty information
- Use the Services to send spam, phishing, or unsolicited communications to consumers
- Attempt to access other brands' data or accounts
- Reverse engineer, decompile, or attempt to extract the source code of the Services
- Use the Services in any way that violates applicable law
- Exceed rate limits or abuse API endpoints
- Create fraudulent product registrations or manipulate analytics data
We reserve the right to suspend or terminate your account if you violate these Terms or engage in behavior that we reasonably determine to be harmful.
10. Fees
The Bawte platform is currently provided at no cost during our launch period. We reserve the right to introduce fees for the Services in the future. If we introduce fees, we will provide at least 30 days' notice and you may terminate your account if you do not agree to the new pricing.
11. Intellectual Property
The Bawte name, logo, and all related marks, designs, and software are the property of Bawte, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use Bawte branding without our written permission except as necessary to indicate that your products are registered on the Bawte platform.
You retain ownership of your brand name, logo, product information, and all content you upload to the Services.
12. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not warrant the accuracy of third-party enrichment data or analytics.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BAWTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE AMOUNTS YOU HAVE PAID TO BAWTE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Bawte and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of our Services; (b) your violation of these Terms; (c) your handling of consumer data; (d) your failure to fulfill warranty obligations or incentives; or (e) any content you upload to the Services.
15. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
API keys, webhook secrets, and internal platform analytics are considered Bawte confidential information. Your brand data and customer lists are considered your confidential information.
16. Termination
You may stop using our Services at any time. To close your brand account and request deletion of your data, contact us at privacy@bawte.com.
We may suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users or our business. Upon termination:
- Your access to the Dashboard and API will cease immediately
- Consumer registration data will be retained as described in our Consumer Privacy Policy to honor warranties
- You may request export of your brand and product data within 30 days of termination
- We will delete your brand account data within 90 days, except where required by law
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal legal action, you agree to try to resolve any dispute with us informally by contacting us at legal@bawte.com. We will try to resolve the dispute within 60 days.
17.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions.
17.3 Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Polk County, Iowa. You consent to the personal jurisdiction of such courts.
18. General
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bawte regarding your use of the Services.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
- Assignment. You may not assign or transfer your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.
- Notices. We may send notices to the email address associated with your brand account.
